These Terms govern the relationship between Decipher Consultancy Services ("SignupDesk") and its business Clients (event organisers). If you are an event attendee registering for an event, your relationship is with the event organiser. Please also read our
Privacy Policy.
Section 01
Definitions
- "Service" β The SignupDesk software platform including all features, APIs, admin panels, and related services provided by Decipher Consultancy Services.
- "Client" β A business entity or individual that has subscribed to SignupDesk for the purpose of managing event registrations.
- "Attendee" β A person who registers for a Client's event using the Service.
- "Attendee Data" β Personal data submitted by Attendees during event registration.
- "Platform" β The infrastructure, codebase, and software operated by SignupDesk.
Section 02
Acceptance of Terms
By subscribing to or using SignupDesk, the Client agrees to be bound by these Terms of Service. These terms form a legally binding agreement between the Client and Decipher Consultancy Services.
If you are accessing the Service on behalf of a company, you represent that you have the authority to bind that company to these Terms.
Section 03
The Service
SignupDesk provides:
- A white-label, multi-tenant event registration platform with custom domain support
- Tenant branding customisation (logo, colors, domain)
- Event creation and seat management
- QR code pass generation and check-in scanning
- Coupon code management for VIP seat allocation
- Attendee data export (CSV/Excel)
- Admin panel for managing events, registrations, and branding
We reserve the right to add, modify, or discontinue features at any time, with reasonable notice for material changes that affect existing functionality.
Section 04
Client Obligations
By using the Service, the Client agrees to:
- Provide accurate information when subscribing and when creating events
- Maintain the confidentiality of their admin panel login credentials
- Not share admin access with unauthorised persons
- Use the Service only for lawful event registration purposes
- Promptly notify us of any suspected unauthorised access to their account
- Comply with all applicable laws, including the DPDP Act 2023, when collecting attendee data
- Obtain all necessary consents from attendees before collecting their personal data
- Not attempt to circumvent the Platform's security, rate limiting, or tenant isolation mechanisms
Section 05
Data Responsibilities
The allocation of data responsibilities under the DPDP Act 2023 and applicable privacy laws is as follows:
The Client is the Data Fiduciary β they determine the purpose of collecting attendee personal data, must have a lawful basis for that collection, and are legally responsible for complying with attendee rights and data protection obligations.
SignupDesk is the Data Processor β we process attendee data only on the Client's behalf, according to our Data Processing Agreement, and do not use that data for our own purposes.
In practice, this means:
- The Client must ensure their event registration form has a valid consent notice (we provide a default DPDP-compliant consent text β the Client may customise it but not remove it)
- The Client is responsible for handling attendee data access and correction requests
- The Client may instruct us to delete an attendee's data at any time β we will execute such instructions within 7 business days
- Attendees also have a self-service deletion option on their confirmation page (no Client instruction needed for this path)
- Upon Client account termination, all their attendee data will be purged per our retention policy in Section 8 of the Privacy Policy
Section 06
Fees & Payment
Fees are agreed upon between SignupDesk and each Client individually based on the plan selected (Basic, Pro, or Enterprise) and the features required.
- Subscription fees are billed as agreed in the Client's service agreement
- SignupDesk reserves the right to modify pricing with 30 days' notice to existing Clients
- Non-payment may result in temporary suspension of the Service
- No refunds are issued for partial subscription periods once the Service has been used
Custom pricing and enterprise arrangements are documented separately from these Terms.
Section 07
Intellectual Property
- The SignupDesk Platform, codebase, design, and all related intellectual property remain the exclusive property of Decipher Consultancy Services.
- The Client retains ownership of their own branding assets (logos, brand materials) uploaded to the Platform.
- The Client retains ownership of their attendee data.
- The Client is granted a limited, non-transferable, non-sublicensable licence to use the Platform during their active subscription period.
Section 08
Prohibited Uses
The Service must not be used to:
- Collect personal data without proper consent or for unlawful purposes
- Conduct spam campaigns, phishing, or unsolicited mass communications
- Circumvent any Platform limits (seats, events, API rate limits)
- Reverse engineer, copy, or reproduce the Platform software
- Resell or sublicense access to the Platform to third parties without written consent
- Host events that involve illegal activities, hate speech, or content that violates applicable law
- Attempt to access another Client's data, admin panel, or tenant environment
Violation of these prohibitions may result in immediate account suspension without refund.
Section 09
Uptime & Support
We target a platform uptime of 99.5% monthly, excluding scheduled maintenance windows (which are communicated at least 48 hours in advance).
- Scheduled maintenance is typically performed during low-traffic hours (2 AM β 5 AM IST)
- Support is provided via email during business hours (MonβFri, 10 AM β 6 PM IST)
- Critical incident response is available 24/7 for platform-wide outages
- Enterprise Clients may have dedicated SLA terms specified in their agreement
We do not guarantee specific uptime SLAs in the base plans; enterprise SLA guarantees are available on request.
Section 10
Limitation of Liability
To the maximum extent permitted by applicable law:
- SignupDesk's total liability to a Client for any claim shall not exceed the fees paid by that Client in the 3 months preceding the claim.
- We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of data, or reputational damage.
- We are not liable for events beyond our reasonable control, including natural disasters, third-party infrastructure outages, or cyberattacks that we could not reasonably have prevented.
Nothing in these Terms limits our liability for gross negligence, fraud, or liability that cannot be excluded by law.
Section 11
Termination
By the Client: A Client may terminate their subscription at any time by notifying us in writing. The Service will remain accessible until the end of the current billing period.
By SignupDesk: We may terminate or suspend a Client's account:
- Immediately, for material breach of these Terms (including prohibited uses)
- With 30 days' notice, if we discontinue the Service generally
- After 14 days of non-payment, following a payment reminder
After termination: The Client may export their attendee data within 30 days of termination. After this period, all data is purged from our systems.
Section 12
Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana, India.
Parties agree to first attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings.
